The short version

This summary is here to help you read the Terms. It is not a substitute for them.

  • You must be 18 or older to use Prino.
  • Your conversations, memories and files are yours. We take no ownership of them and no license to use them beyond running Prino for you.
  • Your content is end-to-end encrypted in your browser. We cannot read it, recover it or reset the keys that protect it. If you lose your password and your recovery kit, your data is gone.
  • You are responsible for keeping your own backups. We are not liable for data that is lost or cannot be unlocked.
  • AI answers can be wrong. Prino is not a doctor, lawyer or financial adviser, and you use its answers at your own risk.
  • Our liability is limited, and claims must be brought within one year.
  • Follow the Acceptable Use Policy.
  • You can stop using Prino and delete your account at any time.
  • If you live in the United States, most disputes are resolved by individual arbitration rather than in court or in a class action. You can opt out within 30 days by emailing us. See Section 18.

1. Who we are and what these Terms cover

Prino is a private AI assistant made by Good Things Ahead, LLC, a Wyoming limited liability company ("we", "us" or "Prino"). These Terms of Service ("Terms") are a contract between you and us. They cover the Prino website at prino.ai, the Prino app and every feature and service we offer under the Prino name (together, the "Service").

Two other documents are part of these Terms:

  • the Privacy Policy, which explains what information we handle and why; and
  • the Acceptable Use Policy, which explains what you may not do with Prino.

You accept these Terms when you create an account, when you send your first message, or when you otherwise use the Service after being shown a notice that links to them. We keep a record of which version you accepted and when. If you do not agree, do not use the Service.

2. Who can use Prino

You must be at least 18 years old and able to form a binding contract. You may not use the Service if you are barred from doing so under the laws of the United States or the place where you live, or if you appear on a United States government list of prohibited or restricted parties.

If you use the Service on behalf of a company or other organization, you confirm that you have authority to accept these Terms for it, and "you" includes that organization.

3. Using Prino as a Guest or with an account

As a Guest. You can use Prino without an account. Your Guest conversations are stored end-to-end encrypted in your browser on your device. They are not backed up. If you clear your browser data, use a different browser or lose your device, your Guest data cannot be restored by anyone, including us.

With an account. An account lets you keep your data in sync across devices. Your data is encrypted in your browser before it is sent to us, and we store only the encrypted copy. You agree to give accurate sign-up information and to keep your sign-in details secure. You are responsible for activity under your account unless it results from our breach of these Terms.

Ghost mode. Ghost conversations are not saved anywhere, including on your device. When you leave a Ghost conversation, it is gone.

Your keys are your responsibility. Your data can only be unlocked with your Prino password, your recovery kit, a trusted device or a passkey you set up. We never hold a copy of the keys that unlock your data. That is what makes Prino private, and it also means we cannot help you get back in if you lose every way to unlock your data. Please keep your recovery kit somewhere safe.

Back up what matters. Prino is not a backup service. You are responsible for keeping your own copies of anything important, for example by downloading your conversations. To the fullest extent the law allows, we are not liable for any loss, corruption or unavailability of your data, including data you cannot unlock, Guest data removed with your browser data, data lost in a sync conflict, and data lost when your account ends. This does not limit our liability for loss caused by our own negligence or our breach of these Terms, where the law does not allow that liability to be excluded.

4. Your content

What counts as your content. "Your content" means everything you put into Prino, such as messages, files, voice recordings, memories, project sources and instructions, and everything Prino produces for you, such as answers, documents, images and video ("outputs").

You own it. As between you and us, you own your content. To the extent we have any rights in outputs, we assign them to you. We do not claim ownership of anything you create with Prino.

The limited permission you give us. You give us permission to process your content only as needed to run the Service for you: to encrypt, store and sync it, to send it to AI models to generate your answers, to transcribe your voice, to process files you add and to deliver the features you choose. This permission ends when your content is deleted, except for copies we cannot access or must keep as described in the Privacy Policy.

Never used to train AI. We do not use your content to train, fine-tune or improve any AI model, and we use only AI providers that commit not to do so. We do not sell your content or use it for advertising.

Outputs may not be unique. AI models can give similar outputs to different people. Other users may receive outputs that look like yours, and your rights do not extend to their outputs.

Your responsibility. You are responsible for your content and for making sure you have the rights needed to use it with Prino. Do not upload material you are not allowed to share.

5. How the AI works and its limits

Third-party models. Prino answers you using AI models built by other companies. We choose these models and route every request only through providers that commit to zero data retention. The model's name may be shown in the app so you know which one answered.

You are talking to an AI. Prino is an artificial intelligence, not a person. It does not have feelings, it is not a friend or companion service, and it is not a therapist or counselor.

AI can be wrong. Outputs are generated automatically and may be inaccurate, incomplete, out of date, biased or offensive. They do not represent our views. Check important information against reliable sources.

Not professional advice. Prino does not give medical, legal, financial, tax, mental health or other professional advice, even when you ask about those topics. Outputs are for general information only. Do not rely on Prino as the sole basis for a decision about your health, money, legal rights, employment, housing, insurance, education or safety. Talk to a qualified professional.

Not a medical device. Prino is not a medical device and is not intended to diagnose, treat, cure or prevent any disease or condition. It is not a substitute for a doctor, and it does not monitor you or your health.

Not for emergencies or crises. If you or someone else may be in danger, contact local emergency services right away. If you are thinking about harming yourself, please reach out for help. In the United States you can call or text 988 to reach the Suicide and Crisis Lifeline. When a conversation suggests someone may be at risk, Prino is designed to point to crisis resources, but it cannot contact anyone on your behalf and may not recognize every situation.

You use outputs at your own risk. You are solely responsible for how you use outputs, including any decision or action you take based on them and any output you share, publish or send to others. Review outputs before relying on them. To the fullest extent the law allows, we are not liable for any loss or harm arising from your reliance on outputs.

AI-generated media. Images and video created with Prino may include visible or hidden markings that identify them as AI-generated. Do not remove or alter these markings.

Memory. When Memory is on, Prino may save short facts from your conversations to personalize future answers. Memories are end-to-end encrypted like the rest of your content. You can view and delete them, correct one by telling Prino in a chat, or turn Memory off.

6. Third-party providers

Prino relies on other companies to run parts of the Service, including AI model, speech-to-text, media generation, hosting and network providers. We choose them carefully. For AI processing, we send requests only to providers that commit to zero data retention and to not training AI on your content.

We rely on those commitments, but we do not control these providers and cannot inspect their systems. To the fullest extent the law allows, we are not liable for the acts or omissions of any third-party provider, including a breach of its own commitments or a security incident on its systems. If we learn that a provider has broken its commitments, we will stop sending it your content, and we will notify you where the law requires.

7. Connected services

Some features let you connect other services, such as a Google, Microsoft or Notion account, so Prino can search and read your email, calendar, documents or notes on your request. Connected access is read-only: Prino cannot send, edit or delete anything in those services. You choose which services to connect and can disconnect at any time. Your use of a connected service is also governed by that service's own terms. We do not control connected services and are not responsible for their availability, content, security or practices. To the fullest extent the law allows, you release us from claims arising from a connected service or from content Prino reads from it at your request. Details are in the Privacy Policy.

8. Preview features

We may offer features marked as preview, beta or early access. They may change, break or be removed, and they may have tighter limits. They are provided as is, and Section 15 applies to them in full.

9. Plans, limits and payments

Free use and limits. Prino offers free use with daily limits. We set limits on messages, voice, file size, generated media and other usage to keep the Service fair and available, and we may change them.

Paid plans. If we offer paid plans, the price, billing period and what is included will be shown before you buy. By subscribing, you authorize us and our payment processor to charge your payment method at the start of each billing period until you cancel.

Automatic renewal and cancellation. Paid plans renew automatically. You can cancel at any time in your account settings. Cancellation takes effect at the end of the current billing period, and you keep paid features until then. We will remind you before an annual plan renews where the law requires it.

Refunds. Payments are non-refundable except where the law requires otherwise or where we say so in writing. If you live in the European Union or the United Kingdom, you may have a right to cancel within 14 days of purchase. If you ask us to start your plan right away and then cancel within those 14 days, we will refund what you paid minus a proportionate amount for the time you used the plan, as the law allows. You can cancel by email to hello@prino.ai or in your account settings.

Price changes. We may change prices. We will give you reasonable advance notice before a new price applies to your plan, and it will apply from your next billing period. If you do not agree, you can cancel before it applies.

Taxes. Prices do not include taxes unless we say so. You are responsible for applicable taxes.

10. Acceptable use

You agree to follow the Acceptable Use Policy. Among other things, you may not use Prino to break the law, harm others, create sexual content involving minors, abuse or overload the Service, get around our limits or safeguards, or access the Service by automated means we have not allowed.

11. Our property and feedback

The Service, including our software, design, text, logos and the Prino name, belongs to us and our licensors and is protected by law. We give you a personal, non-exclusive, non-transferable and revocable license to use the Service under these Terms. You may not copy, modify, distribute, sell or lease any part of the Service, or reverse engineer it, except where the law allows despite this limit, where an open-source license says otherwise, or for good-faith security research that follows the Acceptable Use Policy.

If you send us ideas or feedback, we may use them without any obligation to you. We will not identify you publicly as the source without your permission.

12. Copyright complaints

We respect intellectual property rights. Because your content is end-to-end encrypted, we cannot see or remove material stored in your account. If you believe material we host publicly infringes your copyright, email hello@prino.ai with a description of the work, where you found the material, your contact details, a statement that you have a good-faith belief the use is not authorized, a statement under penalty of perjury that your notice is accurate and that you are authorized to act, and your signature. We will close the accounts of users who repeatedly infringe when we become aware of it.

13. Changes to Prino and to these Terms

Changes to the Service. We improve Prino regularly. We may add, change, suspend or remove any feature, model or limit at any time, with or without notice. If a change significantly reduces a paid plan, you may cancel it. No refund or credit is owed for a change to the Service unless the law requires one.

Changes to these Terms. We may update these Terms. If a change is material, we will give you reasonable advance notice by email or in the app, unless the change is required by law or addresses a safety or security risk, in which case it may take effect immediately. Changes do not apply to disputes that began before the change. If you keep using the Service after a change takes effect, you accept it. If you do not accept it, stop using the Service and delete your account.

14. Ending your use of Prino

You can leave at any time. You can stop using Prino and delete your account in your settings. Before you do, you can download your conversations.

We may suspend or end your access. We may suspend or end your access at any time, with or without notice, including if you break these Terms or the Acceptable Use Policy, if we must do so by law, if your use creates a risk of harm or legal liability, if you have not signed in to your account for 24 months, or if we stop offering all or part of the Service. Before we delete an account for inactivity, or delete the data of an account we have closed, we will email you at least 30 days in advance so you can download your data, unless the account was closed for a serious violation described in Section 1 of the Acceptable Use Policy or the law prevents notice. If we stop offering the Service entirely, we will try to give you reasonable notice so you can download your data. Unless the law requires otherwise, no refund is owed when access ends.

What happens to your data. When your account is deleted, we delete the encrypted data stored on our servers. Remaining copies in our backups are removed on a rolling basis as described in the Privacy Policy. Data stored in your browser stays there until you clear it.

What survives. Sections 4 (for rights you granted before ending), 5, 6, 7, 11, 14, 15, 16, 17, 18 and 19 continue after these Terms end.

15. Disclaimers

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY. WE DO NOT PROMISE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE AGAINST EVERY THREAT, THAT OUTPUTS WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSE, OR THAT DATA WILL NEVER BE LOST.

Some places do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you. Nothing in these Terms limits rights you have under consumer protection laws that cannot be waived by contract.

16. Limits on our liability

TO THE FULLEST EXTENT THE LAW ALLOWS:

  • WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF WE WERE TOLD THEY WERE POSSIBLE; AND
  • OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) US $100.

These limits apply whatever the legal theory, whether contract, tort (including negligence), product liability or otherwise. They do not limit liability for fraud, gross negligence, willful misconduct, death or personal injury caused by our negligence, or any other liability that cannot be limited by law. If you live in the European Union or the United Kingdom, we are also liable for foreseeable loss caused by our breach of these Terms or our failure to use reasonable care.

17. Indemnity

To the fullest extent the law allows, you agree to defend and indemnify us, and our members, employees and agents, against third-party claims, losses and costs (including reasonable legal fees) arising from content you submit or share, your breach of these Terms or the Acceptable Use Policy, or your violation of law or of someone else's rights. We will tell you promptly about any such claim and may take part in its defense with our own lawyers. You may not settle a claim that places obligations on us without our written consent. This Section applies only to the extent the law where you live allows it.

18. Resolving disputes

Please read this Section carefully. If you live in the United States, it requires you to resolve most disputes with us through individual arbitration and waives your right to a jury trial and to take part in a class action. You can opt out as described below.

18.1 Try to resolve it with us first. Most concerns can be resolved quickly by talking to us. Before starting arbitration or a small claims case, the party raising the dispute must send a written notice ("Notice of Dispute") that includes the person's name, the email address linked to their account (if any), a description of the dispute and the relief sought. Send yours to hello@prino.ai with the subject line "Notice of Dispute". We will send ours to the email address linked to your account. For the next 60 days, we will both try in good faith to resolve the dispute. If either of us asks, we will meet by phone or video call, and you may bring a lawyer. The deadline for bringing a claim is paused while this process runs. A Notice of Dispute that does not follow this Section does not start the 60 days.

18.2 Agreement to arbitrate. If we cannot resolve the dispute within 60 days, you and we agree to resolve any dispute, claim or controversy arising from or relating to these Terms or the Service, including their formation, enforceability and scope ("Dispute"), by binding individual arbitration, except as stated in Section 18.3. The Federal Arbitration Act governs this Section. The arbitrator decides all questions about arbitrability, except that a court decides questions about Sections 18.3, 18.6, 18.7 and 18.10 and whether this Section applies to a particular claim under Section 18.9.

18.3 What is not arbitrated. Either of us may:

  • bring an individual claim in small claims court, as long as it stays there and is not moved or appealed to a court of general jurisdiction;
  • ask a court for an order to stop infringement or misuse of intellectual property or unauthorized access to the Service; and
  • bring an issue to the attention of a government agency.

18.4 Rules and costs. The American Arbitration Association ("AAA") administers the arbitration under its Consumer Arbitration Rules and, where Section 18.7 applies, its Mass Arbitration Supplementary Rules, as modified by this Section. The rules are available at adr.org. If the AAA is unavailable or unwilling to administer the arbitration, National Arbitration and Mediation ("NAM") will do so under its consumer rules. A single arbitrator decides the Dispute and may award any individual relief a court could, but only to you individually and only to the extent needed for your individual claim. For consumer claims, we will pay all administrative and arbitrator fees except the portion of the filing fee the rules require the consumer to pay, which will not exceed the fee for filing a lawsuit in court. If the arbitrator finds your claim was frivolous or brought for an improper purpose, the rules decide who pays. Each of us pays our own lawyers' fees unless the law or the rules allow otherwise.

18.5 Where and how. The arbitration will take place by video conference or in the county where you live, whichever you prefer. If your claim is for US $25,000 or less, it will be decided on written submissions only, unless you ask for a hearing or the arbitrator decides one is needed. The arbitrator will give a written decision explaining the essential findings. The decision is final and can be entered as a judgment in any court with jurisdiction.

18.6 No class actions and no jury. YOU AND WE MAY BRING CLAIMS AGAINST EACH OTHER ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. The arbitrator may not combine more than one person's claims, except as provided in Section 18.7, and may not preside over any form of class or representative proceeding. YOU AND WE EACH WAIVE THE RIGHT TO A JURY TRIAL.

18.7 Mass filings. If 25 or more similar demands for arbitration are filed against us by or with the help of the same or coordinated lawyers or organizations ("Mass Filing"), the AAA's Mass Arbitration Supplementary Rules apply, and the claims will proceed in batches of no more than 100, with one arbitrator for each batch. Administrative fees are charged only for the batch in progress. Once the first batch is decided, you and we will mediate the remaining claims in good faith for 60 days before the next batch proceeds. The deadline for bringing each claim is paused while it waits. A court has authority to enforce this Section. If the AAA declines to administer a Mass Filing under this Section, any claimant may choose to bring their individual claim in a court described in Section 18.11 instead.

18.8 How to opt out. You can opt out of this agreement to arbitrate within 30 days of the date you first accept these Terms. Email hello@prino.ai with the subject line "Arbitration opt-out", and include your name and the email address linked to your account. If you use Prino as a Guest, include your name and the email address you would use to contact us about a dispute. Opting out does not affect any other part of these Terms, and it does not affect any earlier arbitration agreement you made with us. If you opt out, Section 18.11 applies to disputes between us.

18.9 Changes to this Section. If we make a material change to this Section, you may reject it by emailing hello@prino.ai with the subject line "Arbitration change rejection" within 30 days of the change taking effect. If you reject it, the most recent version of this Section that you accepted continues to apply to you. Rejecting the change does not end your account.

18.10 If part of this Section is unenforceable. If a court decides that any part of Section 18.6 cannot be enforced for a particular claim or type of relief, such as public injunctive relief, that claim or relief will be decided by a court under Section 18.11 after the individual claims in arbitration are resolved, and the rest of this Section still applies. If any other part of this Section is found unenforceable, the rest remains in effect.

18.11 Governing law and courts. These Terms are governed by the laws of the State of Wyoming and applicable United States federal law, without regard to conflict-of-law rules. Any Dispute not subject to arbitration will be heard only in the state or federal courts located in Wyoming, and you and we consent to their jurisdiction. This does not deprive you of protections under the mandatory consumer laws of the place where you live.

18.12 If you live outside the United States. Sections 18.2 to 18.10 do not apply to you. If you live in the European Union, the European Economic Area, the United Kingdom or Switzerland, you may bring a claim in the courts of the country where you live, and the mandatory consumer protection laws of that country apply in addition to these Terms.

19. General terms

Time limit for claims. To the fullest extent the law allows, any claim arising from or relating to these Terms or the Service must be brought within one year after it arose, or it is permanently barred. This does not apply to claims for which the law where you live does not allow the time limit to be shortened. The pause in Section 18.1 still applies.

Entire agreement. These Terms, together with the Privacy Policy, the Acceptable Use Policy and any terms shown to you when you buy a paid plan, are the whole agreement between you and us about the Service.

Assignment. You may not transfer your rights under these Terms without our consent. We may transfer ours in connection with a merger, acquisition or sale of assets, or by law. Any successor will be bound by these Terms and by our Privacy Policy. Because your content is end-to-end encrypted, a successor would receive only encrypted data it cannot read.

Severability and waiver. If any part of these Terms is found unenforceable, the rest remains in effect, and the unenforceable part will be changed only as much as needed to make it enforceable. If we do not enforce a part of these Terms, we have not waived our right to do so later.

Events beyond our control. We are not responsible for failures or delays caused by events beyond our reasonable control, such as natural disasters, outages at internet or hosting providers, war, terrorism, labor actions or government orders.

Point of contact. hello@prino.ai is our single point of contact for users and for authorities, including under the European Union's Digital Services Act. We can communicate in English.

Electronic communications. You agree that we may communicate with you electronically, by email or in the app, and that these communications meet any requirement that they be in writing.

Export laws. You agree to comply with United States export control and sanctions laws when using the Service.

No third-party beneficiaries. These Terms do not give rights to anyone other than you and us.

Headings and examples. Headings and the short version are for convenience only. Words like "including" mean "including without limitation".

Language. If we provide a translation of these Terms, the English version controls where the law allows.
